Recordwell Partner Program Terms

Who you are contracting with. The Recordwell Partner Program (the "Program") is operated by GRUNDLAGEN TECHNOLOGIE LTD, a company registered in the Republic of Cyprus under registration number HE 434416, with its registered office at Fragklinou Rousvelt 140, 1st floor, Flat/Office 101, 3011 Limassol, Cyprus ("Recordwell", "we", "us"). "You" means the person, company or affiliate network holding a partner account. By signing up for or taking part in the Program you accept these terms.

1. Your account

  1. Anyone who accepts these terms may open a partner account; there is no review before you start. We may ask about your traffic sources, content and audience at any time.
  2. One account per person or company. Keep your details true and up to date, and keep access to your email address secure: it is how you sign in.
  3. If you are an affiliate network, you are responsible for your publishers following these terms, and commission for their traffic is paid to you.
  4. We may suspend or close an account at any time. A suspended account keeps its earned commissions but its links stop crediting new sales.

2. Offers, links and attribution

  1. Your account lists every offer in the Program with its commission model, its rate for you, and your tracking link for that offer.
  2. A sale is credited to you when a visitor clicks your tracking link and makes their first payment for a Recordwell subscription within 60 days of that click. If the visitor later clicks another partner's link before paying, the most recent click gets the credit.
  3. Once a customer is credited to your link, later payments of that customer are credited to the same link.
  4. Referrals are tracked on our servers. Our records decide whether a sale was referred by you.

3. Commission

  1. Each offer pays under one of two models:
    • CPS: a fixed amount for each new customer, earned once, on the customer's first payment. Later payments of that customer earn nothing more.
    • RevShare: a share of the net revenue from every payment the customer makes, the first payment and all renewals, for as long as they remain a Recordwell customer.
  2. "Net revenue" is the amount the customer paid, less sales tax, VAT and similar taxes, and less the fees of the payment processor.
  3. The rate that applies to a customer is the rate of the offer for you when the customer makes their first payment. RevShare on that customer continues at that rate.
  4. No commission is earned on purchases made by you, your household or your employees; on test purchases; or on sales that came from traffic that breaks these terms.

Offers at the time of this version: Recordwell US people search — CPS, $30 per sale; Recordwell US people search — RevShare, 60% revenue share.

4. Refunds and chargebacks

Under CPS, if the customer's first payment is refunded in full or charged back, the commission for that customer is cancelled. Under RevShare, the share of the refunded or charged-back part of a payment is cancelled. If a cancelled commission was already paid, the amount is deducted from your next payouts.

5. Payouts

  1. Commissions earned in a calendar month are paid within 30 days after the end of that month, once your balance reaches USD 100. A smaller balance carries over to the following month.
  2. A commission becomes payable 14 days after the payment it was earned on, which is the product's refund window.
  3. We pay in US dollars by PayPal, Wise or bank transfer to the payout details in your account. Fees charged by your payment provider are yours. We may hold a payout for up to 7 days after your payout details change.
  4. You are responsible for your own taxes. Before the first payout we may ask for a tax form (W-9 or W-8BEN) and for proof of identity.

6. How you may promote Recordwell

  1. Promote Recordwell only to audiences in the United States.
  2. Allowed: honest reviews, guides and comparisons; email to people who opted in to receive it from you; organic social media and video; paid search on keywords that do not contain our brand; paid social within the rules of each platform.
  3. Disclose clearly that you earn a commission, as the US Federal Trade Commission's Endorsement Guides require.
  4. If you mention a price, show the current price and the renewal terms exactly as they appear on recordwell.ai.
  5. Use only the creatives we provide, or creatives we approved in writing before you use them.

7. What you must not do

  1. Present Recordwell as a tool for employment, tenant screening, credit, insurance or any other purpose governed by the Fair Credit Reporting Act. Recordwell is not a consumer reporting agency, and its reports may not be used for these purposes.
  2. Send incentivized traffic: rewards, cashback, points, "get paid to" or similar offers.
  3. Bid on "Recordwell" or its misspellings in paid search, or use our brand in domain names, social accounts or app names.
  4. Make misleading claims: that a record, criminal history or any other result was found; 100% accuracy; fake previews, countdown timers or "deep scans"; that the service is free when payment is required.
  5. Send spam: unsolicited email, text messages, direct messages or comments.
  6. Use cookie stuffing, forced clicks, hidden frames, pop-unders, adware, toolbars or any technique that credits a sale you did not refer.
  7. Promote Recordwell as a way to monitor, stalk or harass anyone; place it next to adult content; or target minors.
  8. Send traffic from outside the United States, or disguise where traffic comes from.

8. When the rules are broken

We may withhold or cancel commission for traffic that breaks these terms, suspend your links, and close your account. Commissions earned in breach of these terms are forfeited.

9. Brand and data

  1. We give you a limited, revocable, non-exclusive license to use the Recordwell name and the creatives we provide, only to promote Recordwell under these terms.
  2. We do not share our customers' personal data with partners. Your reports and postbacks show clicks, sub ids you sent, and credited sales with their amounts only.
  3. We process the details of your account to run the Program and pay you. Payout details are stored encrypted.

10. Changes and ending the Program

  1. We may change these terms, an offer or its rate by notice in your account or by email at least 14 days before the change takes effect. Changes apply to customers whose first payment comes after that date; RevShare on customers credited to you before it continues at the rate they were credited under.
  2. You or we may end your participation at any time. Commissions earned before the end are paid under section 5, unless they are cancelled or forfeited under sections 4 or 8.

11. Liability

The Program is provided "as is". To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, and our total liability to you is limited to the commissions you earned in the twelve months before the claim.

12. Relationship

You are an independent contractor. These terms do not create a partnership, joint venture, employment or agency. You may not make promises or statements on our behalf.

13. Governing law and contact

These terms are governed by the laws of the Republic of Cyprus, without regard to conflict-of-law rules. Questions or notices: support@recordwell.ai. Website of the service: recordwell.ai.
